Overview
This internship offers a high-intensity training experience in private equity and mergers & acquisitions (M&A) focused on the lower-middle-market. The program emphasizes practical dealmaking skills, including live conversations, negotiation psychology, and deal structuring, rather than passive research or slow-paced financial modeling.
Responsibilities
- Conduct daily outbound calls to business owners and executives
- Navigate objections and gather context to understand founder psychology
- Learn real-world negotiation tactics used by buyers and sellers
- Practice professional persuasion and maintain structured, outcome-oriented conversations
- Support deal structuring in the lower-middle-market M&A space
- Analyze seller motivations and buyer constraints
- Evaluate deal fit, feasibility, and readiness
- Understand mechanics of earnouts, seller financing, rollover equity, reps & warranties, and other deal components
- Observe and support live buyer–seller interactions
- Prepare call notes, next steps, and negotiation plans
- Learn how valuation gaps and structure negotiations are managed
- Understand factors that kill or revive deals
- Follow transaction pacing, sequencing, and the psychological dynamics of deals
Requirements
- Strong communication skills
- Fast learner with a desire for early responsibility
- Interest in learning practical dealmaking beyond academic theory
- Preference for learning by doing rather than observing
- Enjoyment of structured, dynamic conversations over spreadsheet-heavy analysis
- Must be fluent in English
