Overview

A San Francisco-based holding company specializing in acquiring and operating B2B services companies across North America is seeking a Tax Manager. The organization has completed over 100 acquisitions in sectors including Managed IT Services, Cybersecurity, ERP Software Partners, and Government Services. The holding company team consists of over 40 professionals focused on capital allocation, M&A, executive hiring, strategic board leadership, and finance and accounting. This role offers a long-term oriented environment with a focus on sustainable growth.

Role Summary

The Tax Manager will report to the Director of Accounting and will be responsible for tax compliance and strategy across a complex, multi-entity structure spanning six countries. This position serves as the primary coordinator between the holding company, vertical finance teams, and external advisors. The role requires a balance of executive presence for high-level interactions and hands-on involvement in day-to-day tax operations.

Responsibilities

Tax Compliance & Operations

  • Manage end-to-end tax compliance across federal, state, and local jurisdictions in the United States and Canada, as well as income and corporate tax compliance in the United Kingdom, Ireland, Australia, and New Zealand.
  • Oversee external tax advisors across all jurisdictions and act as the primary contact with tax authorities, including handling correspondence, audits, and notices.
  • Coordinate tax compliance calendars across finance teams to ensure deadlines are met and information flows efficiently to external preparers.
  • Manage sales, use, VAT, and GST/HST compliance, collaborating with third-party software providers and jurisdiction-specific advisors.

Tax Provision & Financial Reporting

  • Prepare and review the annual consolidated income tax provision under ASC 740, including current and deferred tax calculations, uncertain tax positions, and related disclosures.
  • Partner with Controllership and external auditors during the annual audit cycle, supporting tax-related audit requests and documentation.
  • Ensure consistent application and documentation of tax accounting positions across the consolidated entity.

Tax Planning & Strategy

  • Develop and recommend tax strategies to optimize the overall tax position, focusing on partnership and flow-through structures within the holding entity framework.
  • Support M&A activities including pre-close tax diligence, deal structure analysis, and post-close integration of acquired entities into tax compliance workflows.
  • Manage international tax matters such as transfer pricing, tax treaties, permanent establishment considerations, and cross-border intercompany transactions.

Coordination & Cross-Functional Partnership

  • Serve as the primary coordinator for tax functions with Grove-level finance teams, clarifying tax and compliance responsibilities between holding company and Grove levels.
  • Build and maintain strong relationships with internal stakeholders across Finance, Legal, FP&A, and Deal teams, as well as external advisors.
  • Enhance Grove finance team capabilities by creating playbooks and training on tax processes.
  • Support Accounting and CFO with ad hoc analysis, board materials, and tax-related disclosures.
  • Identify and implement process improvements to scale the tax function consistently and audit-ready in a high-acquisition environment.

Requirements

  • 4-8 years of progressive tax experience, preferably combining public accounting and corporate/industry roles.
  • Strong executive presence with a willingness to engage in hands-on transactional work.
  • Ability to lead through influence, set direction, drive deadlines, and hold advisors and finance teams accountable without direct reporting authority.
  • Experience with federal partnership and flow-through taxation, including operating partnership concepts, K-1s, and multi-tiered pass-through structures.
  • Comfort operating in ambiguous environments and building structure where none exists.
  • Corporate tax and ASC 740 provision experience.
  • CPA or equivalent certification required (inactive status acceptable).

Preferred Qualifications

  • Experience in private equity-backed or high-acquisition-volume environments.
  • International tax exposure across multiple countries, especially UK, Ireland, Australia, or New Zealand (VAT/GST, tax treaties, transfer pricing, permanent establishment).
  • Experience working with or within a Big Four audit environment.
  • Familiarity with capitalization table mechanics and equity-related tax considerations.

Compensation & Benefits

  • Salary range: $135,000 - $165,000 base plus up to 20% bonus.

  • Primarily remote role with preference for candidates near Chicago, IL; Columbus, OH; or San Francisco, CA.
