Overview
This private equity (PE) internship emphasizes judgment, communication, and learning deals through real conversations—rather than spreadsheet-heavy work. The internship is designed as a high-intensity training ground for future dealmakers, with rapid exposure to deal structuring and negotiation dynamics.
The role focuses on learning the communication fundamentals of M&A: engaging founders, understanding motivations, addressing objections, and extracting deal-relevant information.

- Handle objections, gather context, and learn what motivates founders
- Observe how buyers and sellers negotiate beyond textbook scenarios
- Build controlled, professional persuasion skills
- Keep conversations structured and oriented toward an outcome
- Help structure lower-middle-market deals based on what conversations surface
- Weigh what sellers want against what buyers can accept
- Assess fit, feasibility, and deal readiness
- Learn how earnouts, seller financing, rollover equity, and reps and warranties work
- Support live buyer and seller interactions
- Help prepare call notes, next steps, and negotiation plans
- See how valuation gaps are addressed and how deal structures are negotiated
- Understand what can kill deals and what brings them back
- Follow the pacing, sequencing, and psychological arc of a deal
