Overview
This role involves owning tax compliance and reporting within the Finance department. Reporting to the Controller, the Tax Manager serves as the primary internal expert for partnership tax accounting, managing a third-party tax preparer relationship, and ensuring accurate, on-time delivery of investor and employee tax reporting.
Responsibilities
- Tax compliance management: Act as the primary point of contact with the third-party tax preparer (a public accounting firm). Review federal and state tax filings for accuracy and completeness before submission, including Form 1065 and related Schedules K-1 issued to investors and employees across partnership entities.
- Partnership tax accounting: Review allocations, distributions, and capital account maintenance across entities. Ensure K-1 accuracy, timely delivery, and clear communication with recipients.
- Corporate tax accounting (ASC 740): Manage income tax accounting for two corporate entities under ASC 740, including current and deferred tax calculations. Lead adoption of ASU 2023-09 (Income Tax Disclosures) later this year, assess impact, and coordinate implementation with the Controller.
- State tax notices: Review and respond to state tax notices across all entities. Track open items through resolution and escalate to the Controller and external advisors as appropriate.
- Tax payments: Initiate federal and state estimated tax payments and extension payments on time. Record related journal entries and maintain supporting documentation.
- General ledger reconciliation: Reconcile tax-related general ledger accounts on a regular basis to keep filings aligned with the books.
- Investor communications: Proactively communicate K-1 timing and availability, along with quarterly fund and joint venture financial statements. Handle ad hoc investor questions with professionalism and accuracy. Notify employees annually when their K-1s are available.
- Quarterly distributions: Confirm accuracy of quarterly distribution calculations and the underlying tax calculations across partnership entities.
- Tax research and planning: Track changes in federal, state, and local tax law and evaluate their impact on entity structure and obligations. Surface tax planning opportunities and recommendations to the Controller.
- Audit support: Support external auditors on tax matters during the annual audit, preparing and organizing supporting schedules and workpapers independently, with escalation to the Controller as needed.
- Special projects: Partner with the Controller on special projects and ad hoc analyses, bringing a tax perspective to broader finance initiatives.
- Process improvement: Continuously assess and improve tax processes, controls, and documentation to ensure they scale.
